Richard A. Heinle

Richard Heinle has spent more than 18 years advising business clients on all aspects of corporate law. Rich has negotiated and prepared organizational documents, employment agreements, employee confidentiality contracts, stock option plans, distributor and supplier agreements, real estate and equipment leases, management agreements and other agreements fundamental to business operations. His clients range from entrepreneurs to multi-national organizations. Rich began his practice in Chicago before moving to Orlando in 1993.

In addition to his general business law background, Rich has extensive experience in mergers and acquisitions, securities regulation, venture capital financing and debt financing.

He has represented buyers as well as sellers in sales of businesses through asset transactions, stock sales, stock exchanges and mergers. His experience ranges from deals with a transaction value of below $1 million to transactions in excess of $500 million and covers all business sectors, including most regulated industries. His experience includes representation of publicly-traded companies, as well as privately-held entities.

Rich also represents companies in the venture capital arena. His experience includes investments by “friends and family,” early seed capital investments by venture funds and growth and mezzanine financing for more mature companies. His experience includes traditional venture capital investments, as well as convertible and secured debt arrangements.

Rich has represented borrowers and lenders in debt financing transactions. His experience runs the gamut from small unsecured loans by family members to syndicated loan transactions in excess of $1 billion. In connection with these transactions, he has negotiated numerous interest swaps and interest rate collars. Rich also has extensive experience representing companies in obtaining and negotiating subordinated debt financing.

He earned his undergraduate degree with highest honors at the University of Chicago where he was elected to Phi Beta Kappa and garnered All-Conference Honors in Cross-Country and Indoor Track. He received his law degree, cum laude, from the Georgetown University Law Center in 1984. He is a member of both the Florida and Illinois Bars.

Rich speaks regularly on mergers and acquisitions and securities law matters, including presentations on the recent Sarbanes-Oxley amendments to the federal securities laws. He is a member of the Board of Directors of the Manufacturers Association of Central Florida and the Board of Directors of the Better Business Bureau of Central Florida. He is a graduate of Leadership Orlando.

Rich is married with three daughters. He spends his free time attending his daughters’ events and golfing.
